• For our Terms of Service, the party signing the agreement ("Account Owner") will own the Service on behalf of the institution as represented by the person signing. Any related account we could give the Account Owner about the Service will be used by the person whom the Institute has permitted to do so.
• Your Institution shall be the Account Owner if you register for the Service on behalf of your Institution Head. You represent and warrant that if you register for the Service on behalf of your Institution, you have the authority to bind your Institution to these Terms of Service.
• Genius Education Management will use your email address to open a Payment Gateway account, if necessary, on your behalf after signing up for the Service.
• You acknowledge that the Payment Gateway Account will serve as your default payment gateway and that you alone, as the Account Owner, are responsible for setting up and keeping these accounts active. You must delete any payment accounts you do not want to stay open.

The Genius Education Management Service And Product Are Ours. You Are Not Permitted To Use This System For Any Illegal Or Unauthorized Cause. The future resolution of any disputes will take place in Ahmedabad, India.

Before you may sign up to become a member of Genius Education Management, you must carefully read, concur with, and accept all the terms and conditions contained in these Terms of Service and the Privacy Policy.

• All Account holders receive technical help, which they can access through various platforms as indicated on the website.
• The Terms of Service shall be governed by and construed by the applicable laws of India without giving effect to any principles of conflicts of laws. The parties unconditionally and irrevocably consent to Ahmedabad, India's courts having sole jurisdiction over any legal matter arising from or related to the Terms of Service. These Terms of Service expressly disclaim and exclude the application of the United Nations Convention on Contracts for the International Sale of Goods.
• You accept and agree that Genius Education Management may update and restate these terms of service at any time by posting the revised and translated terms of service on the company's website, located at http://www.geniusedusoft.com. Such an upgrade to the terms of service is effective as of the posting date. Following posting the modified Terms of Service to Genius Education Management's website, you are deemed to have accepted and agreed to the revised Terms of Service if you continue to use the Services. Continue using the Service only if you accept all changes to the Terms of Service.
• You are not allowed to use the Genius Education Management Service for any illegal or prohibited purposes, and you are not allowed to violate Indian law, laws relevant to you in the context of your client, or any laws in your ward (including but not limited to copyright laws) by using the Service. You agree to abide by all applicable laws, rules, and guidelines about using the Service.
• You agree to abide by our Terms of Service and acknowledge that you may not copy, duplicate, sell, trade, or in any other way exploit any part of the Service, its use, or access without the express written consent of Genius Education Management.
• Contact Support if you have any questions about the Terms of Service.
• You understand and acknowledge that the Privacy Policy of Genius Education Management governs how you may use the Service, including any data it transmits to or from the Portal.
• The parties have required that the Terms of Service and related reports be written in English.

We have the full authority to change, reject, or end the service at any time. Suppose there is a disagreement over the legal owner of the Genius Education Management Login Account. In that case, we are fully authorized to freeze or transfer the account to the legitimate owner.

• We reserve the right to change or stop providing the Service at any time, for any reason, and without prior warning.
• We have the right to discontinue service to anybody at any time, with or without cause.
• We may, but are under no obligation to, remove any Web Content and Accounts that you may claim contain material that we, in our sole discretion, find to be unlawful, offensive, threatening, libelous, defamatory, obscene, or otherwise objectionable that violates the intellectual property of any party or these Terms of Service.
• The account will be terminated immediately if any client of Genius Education Management engages in verbal or written abuse toward a member, officer, or employee of that company.
• Genius Education Management does not filter web content beforehand, and we reserve the right to reject or remove any web content made available through the Service at our sole discretion.
• We provide no differentiation guarantees in any specific market niche and maintain the right to offer our services to your rivals. You realize and accept that Genius Education Management employees and contractors may also be Genius Education Management customers or merchants and may compete with you without your permission.
• We reserve the right to request the relevant paperwork in case of a dispute over Account ownership to determine or confirm Account proprietorship. The supporting documentation may include, but need not be limited to, a scanned copy of your business license or permit and a government-issued photo ID for reference.
• Genius Education Management has the full authority to determine authentic Account ownership in our sole discretion and to transfer an Account to its rightful owner. Genius Education Management retains the right to temporarily deactivate an Account until the disputing parties resolve the issue if we cannot reasonably identify the legitimate Account owner.

We are not liable if you violate the law, this agreement, or the rights of a third party, notably if you are sued.

• You completely understand and agree that Genius Education Management shall not be liable for any direct, indirect, incidental, special, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, information, or other intangible losses resulting from the use of, or failure to use, the administration.
• No matter how our site, our services, or these Terms of Service are used or related to, Genius Education Management or our providers will never be held responsible for lost profits or any other unusual, coincidental, or significant harm. You agree to indemnify and hold us and (as applicable) our parents, subsidiaries, Genius Education Management partners, officers, directors, agents, employees, and suppliers harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your violation of these Terms of Service or the documents it incorporates by reference, or your violation of any law or the rights of a third party.
• You use the Service at your own risk. The Service is provided "as seems to be" and "as available" without express, implied, or statutory guarantees or conditions.
• Genius Education Management offers no guarantees on the continuity, promptness, security, or error-free operation of the Service.
• Genius Education Management disclaims all responsibility for the accuracy or dependability of any outcomes that may be attained via the Service.
• Genius Education Management does not guarantee that the characteristics of any goods, services, details, or other items you purchase or obtain through the Service will meet your expectations or that any errors in the Service will be fixed.

If genius education management chooses not to enforce any of these provisions at any time, it does not mean that they give up that right later. These terms of service make up the agreement that applies to you. That means any previous agreements between you and Genius Education Management don't apply if they conflict with these terms. A right or provision of the Terms of Service shall not be deemed waived by Genius Education Management's omission to assert or enforce such right or provision. Any prior agreements between you and Genius Education Management (including, but not limited to, any earlier versions of the Terms of Service) are superseded by the Terms of Service, which govern your use of the Service and constitute the entire agreement between you and Genius Education Management.

Customer content and intellectual property: Whatever you upload is still your property, and it's your responsibility.

• The content you provide for the Genius Education Management service is not subject to any intellectual property rights claims by us. Everything you upload remains your own. You can permanently eliminate your Genius Education Management Portal by canceling your Account.
• All Portal Content you publish to Genius Education Management remains your property. You are responsible for ensuring that the Portal Content complies with all relevant laws and rules.
• We won't divulge your sensitive information to outside parties unless necessary to deliver our services. Anything you provide us that isn't publicly available is considered private info. Secret information does not include information that was in the public domain at the time it was obtained, became so after it was accepted without our fault, was obtained from a third party without violating either their or our obligations to keep their information private or was required to be disclosed by law.
• The names, trademarks, service marks, and logos associated with your Portal shall inure to the non-exclusive benefit of Genius Education Management, who shall utilize such information for promotional purposes only.

A valid debit or credit card is necessary for active payment gateways. Your monthly, quarterly, half-yearly, or annual subscription costs will be paid to you. , with a 7-day payment grace period. Your debit or credit card will be billed for extra or transactional fees. If you are tax-exempt, kindly inform us by presenting us with your original exemption certificate so we may cease applying taxes to your account. After the transaction, there are no tax refunds.

• You are responsible for paying the specific fees that apply to your use of the Online Service and Payment Services ("Subscription Fees") as well as any additional costs that may be necessary, such as those for the processing of transactions made through your Account ("Transaction Fees") and any additional fees for the purchase of any other goods or services, such as apps, domain names, or Third Party Services ("Additional Fees"). The "Fees" are the Subscription Fees, Transaction Fees, and Additional Fees taken as a whole. Once paid, subscription fees are not refundable.
• A valid debit or credit card must always be carried on you to cover any incurred and ongoing fees. When you authorize Genius Education Management to charge a debit or credit card account ("Authorized Card"), Genius Education Management will do so. Until the Services are terminated and all outstanding Fees are paid in full, Genius Education Management will continue to charge the Authorized Card for applicable Fees.
• Except as necessary in providing our services, we shall not divulge your sensitive information to third parties. Any information or resources you offer us that aren't publicly available is considered private data. Data already in the public domain at the time of acquisition entered the public domain without our fault after the purchase. It was obtained from a source other than you without violating our or their privacy obligations or was required to be disclosed by law. It does not qualify as secret information.
• If you prepay your subscription fees, they will be billed on the same day as your subscription renewal date (each date is referred to as a "Billing Date"). Regular charges for Transaction Fees and Additional Fees will be made at the sole discretion of Genius Education Management. Each Billing Date, you will be billed for all unpaid fees that still need to be invoiced. A fee bill will be delivered to the account owner at the email address.
• "Taxes" refers to any relevant federal, central, provincial, state, local, or other governmental sales, goods and services (GST), harmonized or other taxes, fees or levies currently in effect or that may be adopted.
• If you live in India and subscribe to or purchase Genius Education Management's products and services, you are responsible for paying any applicable taxes that result from such. These taxes are determined by the applicable rates for the Indian billing address you provide to us. These quantities will be charged to your authorized card and are in addition to any fees for the related goods and services. You must give us an original certificate attesting to your tax-exempt status if you are exempt from paying such taxes and it complies with applicable legislative criteria. Only the date we obtain such a certificate will be used for the tax exemption.

Send support an email to start the canceling process. The management of Genius Education will reply with detailed information about how to deactivate your account. Portals purchased through Genius Education Management will not automatically renew if cancellation is confirmed. If you decide to cancel the Subscription in the middle of a billing cycle,

• Your account is always subject to adjustment or cancellation by us. Any fraud will result in your account being suspended or deleted.
• You can deactivate your Account at anytime by emailing Support and following the detailed procedures provided in their response from Genius Education Management.
• If either party terminates the Services for any reason:
  • Your access to your Account and the Services will both be terminated by Genius Education Management;
  • You won't be eligible for any refunds of any Fees, pro rata or otherwise, until and unless the Terms of Service specifically state otherwise;
  • Your Portal website will be taken offline, and any unpaid balance due to Genius Education Management for your usage of the Services up until the termination date will become immediately due and payable in full.
• Should the Service be terminated at a later date, if there are any fees that you still owe, You'll get one last bill through email. You won't be charged anymore until that invoice has been completely paid.
• For any reason, without prior warning, we retain the right to change or discontinue the Genius Education Management Service or your Account.
• Fraud: Genius Education Management may suspend or terminate your Account, without limiting any other remedies, if we have reason to believe that you have engaged in fraudulent behavior in connection with the Site, whether as a result of a conviction, settlement, insurance, or escrow inquiry or in any other way.

At any moment, without incurring any obligations, we may modify or terminate the services.

• Genius Education Management has the right to adjust prices for utilizing the Services with 30 days' notice. Such notification can be provided, at any time by publishing the modifications via an announcement to the administrative menu of your Genius Education Management Portal or the Genius Education Management Site (http://www.geniusedusoft.com).
• The Service (or any portion thereof) may be changed or discontinued at any time and from time to time by Genius Education Management with or without prior notice.
• Genius Education Management won't be responsible for any Service modifications, pricing changes, suspensions, or discontinuations to you or any other party.

Access to other third-party services is at your own risk and is not within our control. You agree that we may send your data to any third parties whose services you use on the clever education management platform. Get guidance sooner rather than later if you use them because you understand that we cannot guarantee anything.

• Along with these conditions of Service, you also agree to be governed by any additional service-specific conditions that apply to services you might obtain from partners of Genius Education Management or other third parties or that they offer.
• When appropriate, Genius Education Management may suggest, enable, or give you access to third-party software, applications (or "Apps"), goods, services, or website links (collectively, "Third Party Services") for your consideration or use, including through the Genius Education Management App. These Third Party Services are only made available as a convenience to you, and any Third Party Services you purchase, access, or use are exclusively between you and the applicable Third Party Services Provider ("Third Party Provider"). You must read the terms and conditions and/or privacy policies that apply to any Third Party Services before using them. Any use of Third Party Services by you that is made available through the Services or Genius Education Management's website is solely at your own risk and discretion.
• When it comes to Third Party Services, we make no promises. You acknowledge that Genius Education Management has no control over Third Party Services and that Genius Education Management shall not be liable to anyone for any Third Party Services. The presence of Third Party Services on Genius Education Management's websites, including the Genius Education Management App Portal, or the incorporation or activation of such Third Party Services with the Services, in no way implies or establishes Genius Education Management's sponsorship, endorsement, or affiliation. Before using or depending on Third Party Services, we strongly advise you to consult a professional to ensure they will satisfy your needs.
• Any data exchange or other interaction between you and a Third Party Provider is solely between you and that Third Party Provider if you install or enable a Third Party Service for use with the Services. By doing so, you authorize us to give the applicable Third Party Provider access to your data and to take any other actions necessary for the Third Party Service's interoperability with the Services. As a result of access to your data or Web Content by a Third Party Service or a Third Party Provider, Genius Education Management is not liable for any disclosure, modification, or deletion of your data or Portal Content or for any associated losses or damages you may experience.
• Genius Education Management will never be responsible for any direct, indirect, incidental, special, consequential, punitive, extraordinary, exemplary, or any other damages that arise from any Third Party Services or your contract with any Third Party Provider, including any Expert. These restrictions will hold even if Genius Education Management has been made aware of the potential for such harm.
